About the Role

Our client seeks a well-qualified candidate Senior Trusts & Estates/Tax attorney with 10+ years of experience in counseling private and corporate clients in matters relating to federal and California individual and business tax planning, including income, estate, real property, and property taxes, ensuring compliance with federal and California state tax laws.

This candidate will assist clients in succession planning along with entity formation and governance for both business, tax -exempt entities and individual clients. They will draft essential business documents such as purchase and sale agreements, operating agreements, and buy-sell agreements. In addition, a successful candidate will play a key role in M&A transactions, conducting due diligence, drafting contracts, and providing legal guidance throughout the transaction process. The candidate should also be able to undertake work on corporate and business transactions, including mergers, reorganizations, acquisitions, dispositions, and dissolutions.

Salary is commensurate with experience; billable hour requirements are reasonable. Hybrid work arrangements are possible.

NOTE: This is an advisory position, and does not involve contentious IRS or litigation matters.

Requirements

  • 10+ years of experience in counseling private and corporate clients in matters relating to federal and California individual and business tax planning, including income, estate, real property, and property taxes,

    ensuring compliance with federal and California state tax laws.

  • Experience in succession planning along with entity formation and governance for both business, tax -exempt entities and individual clients.

  • Ability to draft business documents such as purchase and sale agreements, operating agreements, and buy-sell agreements.

  • Experience working on corporate and business transactions, including mergers, reorganizations, acquisitions, dispositions, and dissolutions. Familiarity with M&A transactions, conducting due diligence, drafting contracts, and providing legal guidance throughout the transaction process is preferred.

  • A portable book of business is welcome but not required.
